Terms of Service

1. General

These Terms of Service ("Terms") govern your use of the services provided on vatdb.com and api.vatdb.com (the "Service") operated by Nineties Engineering OÜ ("we", "our", "us"), Sepapaja 6, 15551 Tallinn, Estonia.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. The Service

VatDB provides tools and APIs for VAT number normalization, format checking, and validation against official EU and national data sources, including VIES where applicable. We may also provide audit logs and related metadata.

While we aim for high-quality and accurate results, you understand that source systems may be unavailable, delayed, incomplete, or inaccurate. Validation results can include false positives or false negatives. You remain responsible for tax, legal, and compliance decisions made using the Service.

The Service is limited to VAT number checking, validation, and verification. It does not provide VAT compliance, tax reporting, tax advisory, or legal advice. You are solely responsible for your own tax compliance obligations.

3. Permitted and Prohibited Use

Your use of the Service and its data must comply with the terms of service of the underlying data sources, including VIES and national VAT databases. In particular, use must be for legitimate business purposes and legitimate interest (for example, verifying VAT numbers in your own transactions and compliance workflows).

You may not, unless we provide explicit written permission:

  • Mass-collect, harvest, or scrape VAT data beyond legitimate verification use
  • Use information obtain through the service for spam, advertisement or offering other unsolicited services
  • Resell, sublicense, redistribute, or republish data obtain through the service
  • Bypass rate limits, security controls, or access restrictions
  • Use the Service for unlawful, abusive, or fraudulent activity

4. Accounts and Credentials

You must provide us with accurate and current account and billing information. You are responsible for all activity under your account and for keeping login credentials and API keys confidential. You must promptly notify us of any suspected unauthorized access, key compromise, or security incident related to your account.

5. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis (monthly or annual, depending on the plan).

  • Subscriptions renew automatically unless canceled
  • If payment fails, we may retry charging automatically before restricting access
  • Failed or reversed payments may result in restricted or suspended access
  • We may increase prices up to once per calendar year, by up to 10%, with at least 30 days prior notice
  • Fees are non-refundable except where required by applicable law

6. Cancellation

  • You may cancel your subscription at any time through your billing settings or by contacting support
  • Cancellation takes effect at the end of the current billing period unless stated otherwise
  • We may also cancel your subscription for any reason by providing at least 30 days' prior notice. In such case, cancellation takes effect at the end of the current billing period, and any prepaid fees for unused time will be refunded on a pro-rata basis

7. Trial

We may offer trial access for evaluation and testing purposes only. Trial accounts are provided without any guarantees.

  • Trial functionality and limits may differ from paid plans
  • We may cancel, block, restrict, or end any trial account at any time and without prior notice
  • Trial availability may be changed or withdrawn to prevent abuse
  • At the end of a trial period, your subscription will automatically convert to a paid plan unless canceled before the trial expires

8. Payments and Third-Party Processors

Payments are processed by third-party providers, including Stripe. By purchasing the Service, you authorize the applicable processor to charge your selected payment method for recurring fees. Payment processing and related personal data are subject to the processor's terms and privacy policy.

9. Service Availability

We aim to provide reliable availability, but uninterrupted operation is not guaranteed. Temporary disruption may occur due to maintenance, external dependencies, infrastructure failures, network outages, or security incidents. Pre-announced scheduled maintenance windows of up to one (1) hour per calendar month are excluded from any availability calculations or commitments.

Any availability commitment applies only to systems and infrastructure directly operated by us. Third-party and external dependencies are outside our control and are explicitly excluded from availability guarantees, including but not limited to VIES, national VAT databases, government systems, telecom networks, DNS providers, and internet backbone services.

Any service-level commitments apply only where explicitly agreed in writing (for example, in a separate enterprise agreement or custom plan).

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications outages, and cyberattacks.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or data arising from or related to the Service.

Our aggregate liability for all claims related to the Service is limited to the amount of fees actually paid by you for the Service during the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Nineties Engineering OÜ and its directors, employees, and agents from claims, damages, and costs (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of applicable law.

13. Suspension and Termination

We may suspend or terminate access, temporarily or permanently, if:

  • You breach these Terms or applicable law
  • Your account is involved in abuse, fraud, or security risk
  • Payment obligations remain overdue

14. Sanctions and Export Controls

The Service may be subject to applicable sanctions and export control laws. By using the Service, you represent and warrant that you are not prohibited from using the Service under applicable EU or UN sanctions or export control regulations.

15. Governing Law

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law principles.

16. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days notice before material changes take effect, by posting the updated Terms on this page and/or notifying you through the Service. Continued use of the Service after changes become effective means you accept the updated Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service, and supersede all prior agreements, representations, and understandings.

18. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.
